Parties to the agreement-

It is hereby agreed between the parties as follows:

1. The parties are owners of confidential technical and commercial information, documents, and materials relating to both client's actual and potential, marketing, designing, printing and commercial exploitation thereof (“the Information”) and are owners of intellectual property rights therein.

2. The parties are interested in meeting to consider possible collaboration and each party undertakes to the other to keep confidential all information supplied to it in the course and as a result of such meeting.

3. Excepted from this undertaking of confidentiality is any information in the public domain or which the receiving party can show was already in his possession of either party from a third party without contravention of the rights of either party.

4. Without prejudice to the generality of clause 3, the information shall not be deemed to be in the public domain by reason only that it is known to only a few of those people to whom it might be of commercial interest, and a combination of two or more portions of the information shall not be deemed to be in the public domain by reason only of each separate portion being so available.

5. Either party to this agreement shall on request from the other return any documents or items connected with the disclosure and shall not retain any unauthorised copies or likenesses.

For the avoidance of doubt, no trademarks, business concepts, or other information which is disclosed by one party to another pursuant to this agreement shall be copied or used as the basis for the development of any similar trade mark or business concept by the other party.
